Resolution

A Resolution is a motion put to a General Meeting on which members take a vote on a one-member, one-vote basis. A resolution needs to be expressed in a manner that makes explicit what is supported or prevented if the motion is passed by members.

In a FairShares Enterprise there are three types of resolution.

  • Class Resolutions are voted on by a single class of shareholder on a one-member, one-vote basis. They are passed if a simple majority of members in the shareholder class support the resolution.
  • Ordinary Resolutions are voted on by all members, irrespective of class, on a one-member, one-vote basis. They are passed if a simple majority of members support the resolution.
  • Special Resolutions are voted on by each shareholder class separately and collectively. They are passed if a simple majority of members in each shareholder class support the resolution, and 75% of all members support the resolution.
